I don't have a problem with making the friendship first (in fact, I prefer it that way), but I would
never get with a woman that I know has a boyfriend. If she was serious enough to date me without getting rid of her existing boyfriend, that means that she's just as likely to date some other guy after a potential relationship was underway... If she thinks its not working out and wants to move on, that's perfectly fine, but she's not going to have it both ways if I have anything to say about it...
